How a record moves

Process

Black Pebble's process is designed to support professional review; it does not replace that review.

Five steps

A professional-review workflow, start to finish.

Each step produces something a professional firm can use: a current record, a clear question register and a documented version history.

  1. 01

    Intake the Record

Identify source documents, parties, document dates, versions, stated structure, and source materials describing project assumptions.

  2. 02

    Organize the Evidence

Separate source-document statements, sponsor/counterparty representations, independent professional materials, and missing or conflicting information.

  3. 03

    Maintain Open Questions

Track questions for qualified legal, tax, accounting, valuation, investment, and other professionals.

  4. 04

    Coordinate Professional Review

Provide organized records and question registers to the professional firm and its engaged experts.

  5. 05

    Update the Record

Maintain version control as new documents, answers, and professional materials are received.

Outside Black Pebble's role

When a transaction involves securities distribution, communications and materials are handled through the applicable issuer/sponsor and/or licensed, supervised channel.

Organizing the evidence

Every item is kept with its source.

Black Pebble organizes opportunity records for professional firms. We identify source documents, parties, stated structure, source materials describing project assumptions, stated fees, open questions, missing information, conflicting information, and source-document limitations. We do not approve, rate, recommend, or determine the suitability or investment merit of any opportunity.

Source-document statementWhat a source document itself states.
Counterparty representationWhat a sponsor or counterparty represents.
Independent professional materialWhat an independent professional report states, within its stated scope.
Missing informationWhat the record does not yet contain.
Conflicting informationWhere sources disagree and must be reconciled.

For tax opinions, appraisals, and other professional reports, Black Pebble may record document metadata: who issued the document, the date, the stated subject matter, the stated confidence level or conclusion, the assumptions listed in the document, and the limitations or exclusions expressly stated in the document. Black Pebble does not interpret the legal, tax, accounting, valuation, or appraisal sufficiency of those materials. Engaged qualified professionals perform those analyses.
